Purchase Terms of Use

These terms constitute a legally binding agreement. Parties are strongly advised to consult legal and tax counsel before signing.

1. Parties & Property

This Agreement is between the Buyer and Wild Domain, LLC (Seller), a Utah Limited Liability Company. The property being purchased is vacant residential land identified by its Parcel ID and Legal Description as specified in the executed contract.

2. Purchase Price & Payment Options

Cash Sale

Full purchase price is paid upfront.
A one-time, non-refundable Documentation/Processing Fee is due at signing.
This transaction is final upon execution and funding. No refunds or cancellations after deed transfer, except as expressly stated.
The 30-Day Money-Back Guarantee and 365-Day Land Swap do not apply to cash transactions.

Owner/Seller Financing (Terms Sale)

A down payment plus a one-time non-refundable Documentation Fee is due at signing.
The remaining balance is financed directly through Wild Domain, LLC at 0% simple interest per annum.
Monthly payments include principal, a Note Servicing Fee, and a prorated property tax amount.
Payments begin 30 days from the contract date via ACH or credit card. Credit/debit card payments are subject to a 3% processing fee.
No prepayment penalty — the balance may be paid in full at any time; only interest accrued to the date of payoff applies.
Buyer Guarantees — Seller-Financed Purchases Only
Reservation Date. Both guarantees below run from the Reservation Date, which is the date Wild Domain LLC receives the Buyer’s reservation payment (the Down Payment Money and the Documentation Fee). If the purchase agreement is signed after the Reservation Date, the guarantee periods still run from the Reservation Date.
30-Day Money-Back Guarantee. For seller-financed purchases only, the Buyer may cancel the purchase by written notice to Wild Domain LLC within 30 days of the Reservation Date. Notice by email is sufficient. Wild Domain LLC will refund all monies paid by the Buyer, less the Documentation Fee, Note Servicing Fees, payment fees, taxes paid, and servicing setup fees. The Documentation Fee and Note Servicing Fees are non-refundable.
365-Day Land Swap. For seller-financed purchases only, the Buyer may, by written notice within 365 days of the Reservation Date, swap the purchased parcel for another parcel offered by Wild Domain LLC of equal or greater value. The Buyer’s Down Payment Money and the principal portion of the Buyer’s monthly payments carry to the new parcel as a Transfer Credit toward its purchase price. Note Servicing Fees are not principal and do not carry to the new parcel. The Documentation Fee, payment fees, taxes paid, interest, and late charges also do not carry. The new parcel is purchased under a new agreement at Wild Domain LLC’s then-current price and terms, with a non-refundable Documentation Fee of $100.00. The original agreement ends when the new agreement is signed. The Buyer’s account must be current and not in default at the time of the request. The new agreement does not include a 30-Day Money-Back Guarantee or a 365-Day Land Swap.
How the two rights work together. The two rights run on separate clocks. After the 30-day period ends, the 365-Day Land Swap remains available for the rest of its period. Exercising either right ends the other for that purchase. Each right expires automatically at the end of its period.
Applicability. These guarantees apply to purchases with a Reservation Date on or after September 25, 2026. Purchases reserved before that date are honored according to the guarantee terms written in their agreements.

3. Title & Conveyance

Title will be conveyed to the Buyer by Warranty Deed.
For cash sales, the deed is transferred and recorded upon completion of the transaction.
For financed sales, the Seller holds the Warranty Deed until the Promissory Note is paid in full. Upon final payment, the Seller will record the deed in the Buyer’s name within 30 days.
The Seller warrants the property to be free of all liens, and that taxes are current at the time of the agreement.
No title report or title insurance policy is provided by the Seller. The Buyer may conduct an independent title search at their own expense.
If title defects are found, the Seller will notify the Buyer within 5 days of closing. The Buyer may then cancel the contract (with down payment refunded), accept title as-is, or allow the Seller reasonable time to cure the defect.

4. Property Condition & Utilities

The property is sold in its as-is condition. The Buyer acknowledges having had the opportunity to inspect the property prior to signing.
The Buyer accepts the current condition of all utility access.
The Seller discloses no knowledge of wetlands, flood plains, hazardous substances, petroleum products, or underground storage tanks on the property.

5. Payments, Late Fees & Default

A 10-day grace period applies to monthly payments.
If payment is not received within the grace period, a late fee will be assessed.
If the Buyer is 35 days past due, the Seller will issue a written notice of default by email. The Buyer then has 30 days to bring the account current.
Failure to cure the default within that period may result in contract termination and forfeiture of all payments made.
The Buyer is responsible for maintaining a valid email address on file for all notices.

6. Buyer Responsibilities & Restrictions

The property must be used lawfully and in compliance with all applicable federal, state, and local regulations.
Disposal of environmentally hazardous materials on the property is strictly prohibited.
For financed transactions, the property may not be used as the Buyer’s primary residence until the Promissory Note is paid in full and legal title has transferred. Doing so constitutes a material breach of the contract.
Until title transfers, the Buyer accesses and uses the property at their own risk, and agrees to hold Wild Domain, LLC and its affiliates harmless from any related claims or liabilities.
The Seller reserves the right to limit timber removal to only what is necessary for placing a dwelling or structure, until the property is paid in full.

7. Closing Costs

If closing is conducted through a title company, costs are allocated as follows:

There is no cost to the Buyer if closing directly with the Seller.

Taxes, interest, maintenance fees, and assessments will be prorated through the Closing Date.

8. Default & Remedies

If the Buyer defaults, the Seller may enforce specific performance or terminate the contract and retain the down payment as liquidated damages.
If the Seller defaults, the Buyer may enforce specific performance or terminate the contract and receive a full refund of the down payment.
The prevailing party in any legal dispute is entitled to recover all costs and reasonable attorney’s fees from the non-prevailing party.

9. Assignment

The Buyer may not assign this agreement without the Seller’s written consent.
The Seller may assign this agreement, and it shall be binding on all heirs and assigns of both parties.

10. Eminent Domain

If any portion of the property is taken by eminent domain prior to title transfer, both parties may choose to proceed with or terminate the agreement. If terminated, all Buyer payments — excluding non-refundable fees — will be returned.

11. Governing Law & Jurisdiction

This Agreement is governed by the laws of the state in which the property is located. All legal proceedings arising from this Agreement shall be brought exclusively in the state courts of Utah, to which both parties consent.

12. General Provisions

This Agreement constitutes the entire agreement between the parties and supersedes all prior representations or oral statements.
Modifications are only valid if made in writing and signed by both parties.
All notices must be in writing and may be delivered in person, by overnight courier, certified mail, or email(deemed effective upon transmission with no delivery failure).
No real estate broker or agent is involved in this transaction. Any agent fees are the sole responsibility of the party who engaged them.
